huddlz Terms of Service

These Terms of Service ("Terms") govern access to and use of huddlz.com and the huddlz services (collectively, the "Service"). The Service is currently operated under the name huddlz from Florida, United States ("huddlz," "we," "us," or "our").
By creating an account or otherwise using the Service, you agree to these Terms and the Code of Conduct. Our Privacy Policy explains how we handle personal information. If you do not agree, do not create an account or use the Service.
1. Eligibility
You must be at least 13 years old to create an account. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian. By creating an account, you represent that you meet these requirements.
The Service is intended for a general audience and is not directed to children under 13. If we learn that an account belongs to a child under 13, we may suspend the account and delete associated personal information as required by law.
You may not use the Service if applicable law prohibits you from doing so.
2. Accounts
You agree to provide accurate account information, keep your email address current, protect your credentials, and promptly notify us at support@huddlz.com if you believe your account has been compromised.
You are responsible for activity conducted through your account unless it results from a security failure within our reasonable control. You may not sell, transfer, share, or impersonate another person's account.
3. What huddlz provides
huddlz helps people discover, organize, and attend real-life and online gatherings ("huddlz") through groups. We provide software and related services; unless we expressly say otherwise, we do not organize, supervise, endorse, inspect, or control groups, huddlz, organizers, attendees, venues, or activities.
Group organizers and other users are independent users of the Service. They are not employees, agents, representatives, partners, or contractors of huddlz.
We may add, change, suspend, or discontinue features. We do not guarantee that the Service or any particular feature will always be available.
4. Real-world interactions and assumption of risk
Meeting people and participating in activities can involve risks, including illness, injury, property damage, fraud, harassment, and other misconduct. huddlz does not perform background checks, identity verification, venue inspections, or safety reviews unless we expressly state otherwise.
You are responsible for evaluating a group, huddl, organizer, attendee, venue, route, equipment, and activity before participating. Use appropriate judgment, follow applicable laws and safety instructions, obtain any insurance or permission you need, and leave or contact emergency services if a situation feels unsafe.
To the fullest extent permitted by law, you voluntarily assume the risks arising from your interactions with other users and your participation in groups and huddlz.
5. Organizer responsibilities
If you create or help organize a group or huddl, you are responsible for:
- providing accurate descriptions, dates, locations, capacity limits, access requirements, costs, risks, and cancellation information;
- obtaining permission to use venues, content, names, images, and other materials;
- complying with permits, accessibility requirements, health and safety rules, consumer-protection rules, and other applicable laws;
- supervising the huddl appropriately for the activity and attendees;
- handling any money, refunds, waivers, equipment, transportation, food, alcohol, or third-party services outside huddlz; and
- responding reasonably to safety concerns and Code of Conduct reports.
huddlz does not collect or hold payments for groups or huddlz unless we explicitly introduce and describe that feature.
6. User content
"User Content" means text, images, links, locations, group and huddl details, profile information, and other material you submit to the Service.
You retain ownership of your User Content. You grant huddlz a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify for technical purposes, display, distribute, and otherwise use your User Content only as reasonably necessary to operate, secure, improve, and promote the Service. This license ends when the content is deleted from our systems, except for reasonable backup, legal, safety, and evidentiary retention.
You represent that you have the rights needed to submit your User Content and that our permitted use of it will not violate another person's rights or the law. You are responsible for your User Content and any harm it causes.
Public groups, public huddlz, display names, and other material marked public may be visible without an account and may be indexed or copied by others. Do not publish information you do not want made public.
7. Acceptable use
You must follow the Code of Conduct. You may not use the Service to:
- break the law or facilitate illegal activity;
- threaten, harass, stalk, exploit, discriminate against, or harm another person;
- publish private or sensitive information without authorization;
- create deceptive groups or huddlz, impersonate others, or commit fraud;
- distribute malware, spam, scams, or unauthorized commercial solicitations;
- infringe intellectual property, privacy, publicity, or other rights;
- bypass access controls, probe vulnerabilities without written permission, disrupt the Service, or overload its infrastructure;
- scrape, harvest, or use personal information in ways users would not reasonably expect;
- use automated access in violation of published API limits or instructions; or
- help another person do any of the above.
8. Moderation and enforcement
We may investigate suspected violations and may remove or restrict content, cancel huddlz, restrict features, suspend or terminate accounts, preserve evidence, and cooperate with organizers, venues, service providers, or authorities when reasonably necessary for safety, legal compliance, or protection of the Service.
We may act without advance notice when we reasonably believe prompt action is needed. Where appropriate, we may provide a reason and an opportunity to appeal by contacting support@huddlz.com. We are not required to host or restore content or accounts.
9. Third-party services and links
The Service may use or link to third-party services, including map, location, email, hosting, storage, venue, and virtual-meeting providers. Their terms and privacy practices govern your direct use of their services. huddlz is not responsible for third-party services, content, availability, or conduct.
10. Intellectual property
The Service, including its software, design, branding, and content supplied by huddlz, is owned by huddlz or its licensors and is protected by applicable law. These Terms do not grant you ownership of the Service or permission to use our name, trademarks, or branding except as necessary to identify or link to the Service.
Open-source components remain subject to their applicable licenses.
11. Feedback
If you voluntarily provide suggestions or feedback, you grant us a perpetual, worldwide, non-exclusive, royalty-free right to use it without restriction or compensation. This does not transfer ownership of your unrelated User Content.
12. Termination
You may stop using the Service at any time. You may request account deletion by contacting support@huddlz.com.
We may suspend or terminate access if you violate these Terms or the Code of Conduct, create risk or legal exposure, repeatedly infringe rights, fail to maintain a usable account, or if operating the Service is no longer practical.
Sections that by their nature should survive termination will survive, including ownership, licenses needed for retained material, disclaimers, limitations of liability, indemnity, and dispute provisions.
13. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." HUDDLZ DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT CONTENT OR USER INFORMATION IS ACCURATE; OR THAT ANY GROUP, HUDDL, ORGANIZER, ATTENDEE, VENUE, OR ACTIVITY IS SAFE, LAWFUL, SUITABLE, OR AS DESCRIBED.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HUDDLZ AND THE PEOPLE WHO OPERATE OR SUPPORT IT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE, USER CONTENT, THIRD-PARTY SERVICES, OR INTERACTIONS OR ACTIVITIES CONNECTED WITH A GROUP OR HUDDL.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF HUDDLZ AND THE PEOPLE WHO OPERATE OR SUPPORT IT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO HUDDLZ DURING THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited.
15. Indemnity
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless huddlz and the people who operate or support it from claims, damages, losses, liabilities, and reasonable legal costs arising from your User Content, your group or huddl, your conduct, your violation of these Terms or the Code of Conduct, or your violation of another person's rights or applicable law.
We may control the defense of a covered claim, and you agree to cooperate reasonably. You may not settle a covered claim in a way that admits fault by or imposes obligations on huddlz without our written consent.
16. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service must be brought in a state or federal court with jurisdiction in Florida, and you consent to the personal jurisdiction of those courts.
Before filing a claim, you and huddlz agree to make a good-faith effort for 30 days to resolve the dispute informally. Contact support@huddlz.com with a description of the issue and requested resolution. This requirement does not prevent either party from seeking urgent injunctive relief or filing a claim before a limitations period expires.
Nothing in these Terms limits rights you cannot waive under applicable law.
17. Changes to these Terms
We may update these Terms as the Service or law changes. We will post the revised Terms with a new effective date and provide additional notice when a change is material. Unless law requires otherwise, changes apply prospectively.
Continued use after the effective date of revised Terms constitutes acceptance only where permitted by law. We may require renewed affirmative acceptance for material changes.
18. General terms
These Terms, the Code of Conduct, and policies expressly incorporated into them are the entire agreement between you and huddlz concerning the Service.
If a provision is unenforceable, it will be modified only as much as necessary, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with formation, reorganization, financing, or transfer of the Service, including to the legal entity that succeeds the current operator.
